1. Agreement to Terms
Welcome to CommissionsIQ, commission tracking and reconciliation software operated by LoanX Solutions Pty Ltd (ABN: 36 684 087 965) (“we,” “our,” “us,” or “LoanX”). These Terms of Service (“Terms”) govern your access to and use of CommissionsIQ, including all features and services (collectively, the “Service”).
By accessing or using CommissionsIQ, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
1.1 Parties to Agreement
- Provider: LoanX Solutions Pty Ltd, registered in Australia
- User: The individual or entity (“you,” “your,” or “User”) accessing CommissionsIQ
1.2 Agreement Hierarchy
In case of conflict, documents are interpreted in this order:
- Enterprise Service Agreement (if applicable)
- These Terms of Service
- Privacy Policy
2. Eligibility and Account Registration
2.1 Eligibility Requirements
To use CommissionsIQ, you must:
- Be at least 18 years of age
- Be a licensed mortgage broker or work for a licensed brokerage in Australia
- Hold or be affiliated with an Australian Credit Licence (ACL) where required
- Have legal capacity to enter into binding contracts
- Not be prohibited from using the Service under Australian law
2.2 Business Use Only
CommissionsIQ is designed for business use by mortgage professionals. It is not intended for:
- Personal consumer use
- Collection of personally identifiable information outside business purposes
- Storage of sensitive personal data unrelated to mortgage broking
- Unlicensed financial advisory services
2.3 Account Registration
When creating an account, you must:
- Provide accurate, current, and complete information
- Include your valid ACL number or aggregator affiliation
- Maintain and promptly update your account information
2.4 Account Security
You are responsible for:
- Maintaining confidentiality of your password and credentials
- All activities that occur under your account
- Notifying us immediately of unauthorised access or security breaches
- Enabling multi-factor authentication (MFA)
- Using strong passwords
Security breach notification: contact us immediately if you suspect unauthorised access.
2.5 Account Restrictions
One account per person. You may not:
- Share login credentials with others
- Create multiple accounts for the same individual
- Use automated scripts or bots to create accounts
- Impersonate another person or entity
3. Subscription Plans and Billing
3.1 Service Plans
CommissionsIQ offers the following subscription tiers:
- Starter: $49.95 AUD per month, plus GST
- Professional: $99.95 AUD per month, plus GST
- Enterprise: Custom pricing, with dedicated support
All prices are in Australian Dollars (AUD) and exclude GST. Full details are on the pricing page.
3.2 Free Trial
New users receive:
- 14-day free trial
- No credit card required
- Automatic expiration (no auto-billing unless you subscribe)
- One free trial per business entity
3.3 Billing Cycle
- Subscriptions are billed monthly in advance
- Billing occurs on the same day each month
3.4 Payment Processing
- Payments are processed securely by a third-party payment provider
- We do not store full credit card numbers
- Failed payments may result in service suspension
3.5 Price Changes
We may change pricing with:
- 30 days’ notice for monthly plans
- Notification via email and in-app notice
- Existing subscribers locked in for the current billing period
3.6 Taxes
You are responsible for:
- All applicable taxes (including GST)
- Providing a valid ABN/ACN for tax purposes
Tax invoices are provided monthly via email.
3.7 Refund Policy
- Free Trial: Cancel anytime, no charges
- Monthly Subscriptions: No refunds for partial months
- Enterprise Plans: Governed by separate Enterprise Service Agreement
Exceptions: Refunds may be provided at our sole discretion for service outages, billing errors, or extenuating circumstances.
4. Service Description and Availability
4.1 The Service
CommissionsIQ includes:
- Commission tracking and reconciliation: upfront and trail payments reconciled against the entitlement shown in your uploaded aggregator statements, with automated variance detection
- Clawback visibility: settlement date monitoring, risk alerts and clawback exposure across your book
- Analytics: portfolio dashboard, settlement trends, upfront-versus-trail breakdown, lender breakdown, multi-broker views and a variance tab
- Data import: Excel and CSV statement upload with saved per-format mapping, validation, duplicate detection and loan matching
4.2 Availability
The Service is hosted on AWS infrastructure. We do not currently offer a contractual uptime commitment to customers. Scheduled maintenance will be announced in advance where practicable.
4.3 Beta Features
Some features may be marked “Beta” or “Preview”:
- Provided “as-is” without warranty
- May be unstable or contain bugs
- Can be modified or discontinued without notice
- Use at your own risk
4.4 Modifications to Service
We reserve the right to:
- Add, modify, or remove features
- Update user interface and functionality
- Change technical requirements
- Discontinue the Service (with 90 days’ notice)
Notice of material changes: provided via email and in-app notification.
5. User Responsibilities and Obligations
5.1 Compliance with Laws
You must comply with all applicable laws including:
- Australian Privacy Act 1988
- National Consumer Credit Protection (NCCP) Act 2009
- Anti-Money Laundering and Counter-Terrorism Financing Act 2006
- Competition and Consumer Act 2010
- Copyright Act 1968
- Spam Act 2003
5.2 Client Consent
Before uploading client data to CommissionsIQ, you must:
- Obtain appropriate consent from clients
- Inform clients their data will be stored in cloud infrastructure
- Comply with the Australian Privacy Principles (APPs)
- Have legal authority to process and store client information
- Maintain documentation of consent
Important: You are the data controller. LoanX is the data processor. You are responsible for lawful collection and use of client data.
5.3 Data Accuracy
You warrant that:
- All data uploaded is accurate and current
- You will correct or delete inaccurate data promptly
- You will not upload false or misleading information
5.4 Professional Use
You agree to use CommissionsIQ only for:
- Legitimate mortgage broking activities
- Managing your own clients and business
- Lawful business purposes
5.5 Prohibited Activities
You may NOT:
- Upload viruses, malware, or malicious code
- Attempt to gain unauthorised access to systems
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to spam or harass others
- Scrape, crawl, or harvest data from the platform
- Share your account with unlicensed individuals
- Use the Service for illegal activities
- Interfere with other users’ access to the Service
- Remove or obscure copyright notices or trademarks
- Use the Service to compete with LoanX
5.6 Data Backup
While we maintain regular backups, you should:
- Keep your own copies of source statements and critical records
- Not rely solely on CommissionsIQ for data storage
- Verify data integrity after imports

6. Intellectual Property Rights
6.1 LoanX Ownership
LoanX owns all rights, title, and interest in:
- The CommissionsIQ software and codebase
- User interface, design, and graphics
- Algorithms, models, and AI features
- Documentation and training materials
- The “CommissionsIQ” and “LoanX” trademarks
- Domain names and branding
6.2 Your Data Ownership
You retain all ownership rights to:
- Client data you upload
- Commission records and financial information
- Business data generated for you
Licence to LoanX: By uploading data, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your data in order to provide the Service to you, and to create aggregated, anonymised statistics.
Important: We never claim ownership of your data and will not use it for purposes beyond providing the Service.
6.3 Aggregated Data
We may use anonymised, aggregated data for industry research and benchmarking, and for product improvement. Aggregated data never identifies you or your clients, and your data is never used to build models for other accounts.
6.4 Feedback and Suggestions
If you provide feedback, ideas, or suggestions:
- You grant us perpetual, royalty-free rights to use them
- We are not obligated to implement suggestions
- No compensation is owed for accepted ideas
6.5 Copyright Infringement
If you believe content on CommissionsIQ infringes your copyright, contact us with your contact information, a description of the copyrighted work, and the location of the infringing material. We will investigate and take appropriate action within 7 business days.
7. Integrations
CommissionsIQ has no live CRM, lender or aggregator API integrations. The Service works from the commission statements you upload. Where you or your provider can grant approved access, we can build a connection on our side; any such connection will be governed by terms agreed at the time, including any applicable third-party terms.
8. Data Protection and Security
8.1 Security Measures
We implement:
- AES-256 encryption at rest
- TLS 1.3 encryption in transit
- Role-based access control (RBAC)
- Multi-factor authentication (MFA)
- Complete activity tracking and audit trail
- Daily encrypted backups with point-in-time recovery
8.2 Australian Data Storage
Your data is hosted in Australia on AWS infrastructure.
8.3 Data Breach Notification
In the event of a data breach likely to result in serious harm:
- We will notify affected users promptly
- Report to the OAIC as required by the NDB scheme
- Provide details of the breach and remediation steps
8.4 Your Security Obligations
You must:
- Use strong passwords and enable MFA
- Keep login credentials confidential
- Use secure devices and networks
- Report suspected breaches immediately
- Log out after each session on shared computers
9. Privacy and Data Use
9.1 Privacy Policy
Our Privacy Policy describes what data we collect, how we use it, who we share it with, and your privacy rights. By using CommissionsIQ, you consent to our Privacy Policy.
9.2 Client Data Processing
You acknowledge that:
- LoanX is a data processor; you are the data controller
- You are responsible for obtaining client consent
- You must comply with the Australian Privacy Principles
- We will only process data as instructed by you
9.3 Data Retention
- Active accounts: for the duration of the subscription
- Cancelled accounts: 30 days (then deleted or anonymised)
- Legal requirements: 7 years for financial and commission records (Australian law)
- Backups: 90 days rolling retention
9.4 Data Deletion
Upon account termination:
- You may request a CSV export of your data within 30 days
- Data is deleted from active systems within 30 days
- Backups are purged within 90 days
- Some data is retained for 7 years (legal compliance)

10. Disclaimers and Limitations of Liability
10.1 Service Provided “As-Is”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMISSIONSIQ IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
10.2 No Financial Advice
CommissionsIQ provides data analytics and insights — not financial advice. Projections are estimates based on historical data. We are not financial advisors. You are responsible for all business decisions, for verifying the accuracy of data and insights, for compliance with your Australian Credit Licence obligations, and for professional judgment in client interactions.
10.3 Source Data
We are not responsible for:
- Errors in statements or data you upload
- Discrepancies within commission statements issued by third parties
- Changes to lender or aggregator policies or rates
The expected figures shown in the Service are derived from the statements you upload. You must verify all data before relying on it.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOANX’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO COMMISSIONSIQ IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $1,000 AUD, WHICHEVER IS GREATER.
10.5 Excluded Damages
WE ARE NOT LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption (maintain your own copies)
- Downtime or service interruptions
- Third-party claims or actions
- Force majeure events
10.6 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies guarantees, warranties, or rights under the Australian Consumer Law (ACL) or other statutory protections that cannot be excluded. If we breach a consumer guarantee under the ACL, our liability is limited (to the extent permitted) to re-supplying the Service or refunding the amount paid for the Service.
10.7 Indemnification
You agree to indemnify and hold harmless LoanX, its officers, directors, employees, and agents from claims arising out of your breach of these Terms, your violation of any law or third-party rights, unauthorised use of your account, or claims related to client data you uploaded.
11. Termination and Suspension
11.1 Termination by You
You may cancel your subscription at any time by contacting us or via your account settings where available. Cancellation takes effect at the end of the current billing period. Request a CSV export of your data before your 30-day post-cancellation window ends.
11.2 Termination by Us
We may terminate or suspend your account immediately if:
- You breach these Terms
- You fail to pay subscription fees (7-day grace period)
- You engage in fraudulent activity
- You violate laws or regulations
- Required by law or court order
Notice: We will provide notice when possible, but may terminate immediately for serious violations.
11.3 Effect of Termination
Upon termination:
- Access to CommissionsIQ is revoked
- No refund for unused subscription time (except as specified)
- Data is retained for 30 days (then deleted)
- Outstanding fees become immediately due
- Sections 6, 10, 12, and 13 survive termination
11.4 Service Suspension
We may temporarily suspend your account for non-payment (after the grace period), a suspected security breach, or investigation of a Terms violation. Contact us to resolve a suspension.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating legal action, contact us describing the issue. We will attempt good-faith resolution within 30 days.
12.2 Governing Law
These Terms are governed by the laws of New South Wales and the Commonwealth of Australia.
12.3 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts of Sydney, New South Wales, Australia.
12.4 Dispute Resolution Process
- Negotiation: good-faith discussions between the parties (30 days)
- Mediation: non-binding mediation with an agreed mediator (60 days)
- Litigation: either party may proceed to court
12.5 Small Claims
Either party may pursue claims in a court of appropriate (including small-claims) jurisdiction, filed individually.
13. General Provisions
13.1 Entire Agreement
These Terms, our Privacy Policy, and any Enterprise Service Agreement constitute the entire agreement between you and LoanX.
13.2 Amendments
We may modify these Terms with 30 days’ advance notice via email. Changes are posted on this page. Continued use constitutes acceptance; material changes require explicit consent.
13.3 Severability
If any provision is found unenforceable, it is modified to the minimum extent necessary and the remaining provisions remain in full force.
13.4 Waiver
Failure to enforce any provision does not waive our right to enforce it later.
13.5 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms to a successor in interest, an affiliated company, or a third party with 30 days’ notice.
13.6 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, government actions, health emergencies, telecommunications failures, or third-party service provider outages.
13.7 Notices
Legal notices must be sent to LoanX Solutions Pty Ltd, 402/7 Maitland Place, Norwest NSW 2153, Australia, or via our contact page. You consent to receive notices electronically via email to your registered address and in-app notifications.
13.8 Language
These Terms are written in English.
13.9 Relationship
These Terms do not create a partnership, joint venture, agency, employment, or franchise relationship.
14. Industry-Specific Terms
14.1 Australian Credit Licence (ACL) Compliance
You represent and warrant that you hold a valid ACL or are an authorised credit representative, comply with NCCP Act requirements, maintain professional indemnity insurance as required, and follow responsible lending obligations.
14.2 Commission Tracking
When using CommissionsIQ:
- You are responsible for the accuracy of the statements and data you upload
- Expected figures are derived from your uploaded aggregator statements
- Verify commission amounts with your lenders or aggregator
- Report discrepancies to your lender or aggregator, not LoanX
14.3 Clawback Visibility
CommissionsIQ provides alerts on settlement dates and clawback windows, and visibility of clawback exposure across your book. You are responsible for client retention strategies, legal compliance, and business decisions. Clawback cannot be prevented by software.
14.4 Client Relationship Management
You acknowledge that you are the primary relationship owner with your clients, that CommissionsIQ is a tool to assist rather than replace professional judgment, and that client communication and advice remain your responsibility.
14.5 Record-Keeping
CommissionsIQ maintains retrievable commission records and audit trails, but you are responsible for compliance with record-retention obligations under the NCCP Act, for maintaining your own backups and archives, and for producing records for ASIC audits or investigations.
15. Acceptable Use Policy
15.1 Fair Use
You agree to reasonable use of the Service — no excessive automated load, bulk downloading or scraping, and reasonable use of support channels.
15.2 Prohibited Content
You may not upload illegal or fraudulent information, copyrighted material without authorisation, malware, personal data unrelated to mortgage broking, spam, or offensive, defamatory or harmful content.
15.3 Enforcement
Violation of acceptable use may result in a warning, temporary suspension, permanent termination, legal action for damages, or reporting to authorities where activity is illegal.

17. Acknowledgment
By creating an account or using CommissionsIQ, you acknowledge that you have read and understood these Terms, agree to be bound by them, have authority to enter into this agreement, have read our Privacy Policy, are at least 18 years old, and hold or are affiliated with an Australian Credit Licence where required.
If you do not agree to these Terms, you may not use CommissionsIQ.
